Digital Assets (BIM/CAD) Licensing Policy

  1. Scope of Digital Assets

This Policy governs all digital assets made available on the Platform, including CAD files, BIM models, 3D models, technical drawings, specifications, datasheets, catalogs, and any similar digital or technical files uploaded, linked, or otherwise provided by Vendors through their eShops. These assets may be accessed by Buyers and other authorized users solely through the Platform interfaces and applications.

  1. Ownership of Digital Assets

Vendors retain all right, title, and interest in and to the digital assets they upload or make available through their eShops. No ownership rights in any digital asset are transferred to the Platform or to any Buyer by virtue of hosting, access, download, or use of such assets.

  1. License Granted to Buyers

Subject to compliance with this Policy and the applicable Platform terms, each Vendor grants to a Buyer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the digital assets solely for the Buyer’s internal evaluation, planning, and informational purposes in connection with potential or completed purchases from that Vendor.

This license does not permit resale, redistribution, sublicensing, public display, commercial exploitation, or use of the digital assets for manufacturing, construction, fabrication, or execution without the Vendor’s separate written authorization.

  1. Platform License and Rights

By uploading or making digital assets available, each Vendor grants the Platform a perpetual, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, modify for formatting and compatibility, distribute, and otherwise use such digital assets for Platform operation, catalog management, analytics, artificial intelligence training, compliance review, enforcement, and dispute handling.

This license survives suspension or termination of the Vendor’s account or eShop.

  1. Usage Restrictions

Buyers and other users must not:

  1. Alter, reverse engineer, decompile, or create derivative works from digital assets except for internal evaluation.

  2. Rely on digital assets as professional advice, final design documents, or execution-ready specifications.

  3. Remove proprietary notices, trademarks, or attribution included in the digital assets.

  4. Use digital assets in a manner that infringes intellectual property rights, building regulations, safety standards, or applicable law.

  1. Accuracy and Reliance Disclaimer

All digital assets are provided for informational purposes only. Vendors are solely responsible for the accuracy, completeness, and currency of their digital assets.

The Platform does not verify, validate, certify, or endorse any digital asset and provides no warranty as to accuracy, fitness for purpose, regulatory compliance, or suitability for any specific project.

Any reliance on digital assets is at the Buyer’s sole risk.

  1. No Professional or Technical Advice

Digital assets do not constitute engineering, architectural, construction, safety, or professional advice. Buyers must obtain independent professional review and verification before using any information contained in digital assets for decision-making or execution.

  1. Revocation and Access Controls

The Platform may restrict, suspend, or revoke access to any digital asset at any time where it determines that:

  1. The asset is inaccurate, misleading, or non-compliant.

  2. The asset infringes intellectual property rights.

  3. The Vendor or Buyer has breached this Policy or other Platform rules.

  4. Removal is required for risk management, enforcement, or legal compliance. 

Such actions do not create any liability on the Platform toward Vendors or Buyers.

  1. Enforcement and Remedies

Violations of this Policy may result in one or more enforcement measures, including delisting of digital assets, suspension or termination of eShops or accounts, withholding of payouts, and reporting to relevant authorities where required.

The Platform’s determinations under this Policy are final for Platform-administered remedies, subject only to mandatory applicable law.

  1. Governing Law and Jurisdiction

This Policy is governed by the laws of the United Arab Emirates. Any disputes arising in connection with this Policy are subject to the exclusive jurisdiction of the courts of the Emirate of Abu Dhabi, unless mandatory law requires otherwise.
